Terms of Service

These terms apply to the palisadeslabs.ai website and to services provided by Palisades Labs ("we", "us"). If you have signed an agreement or statement of work with us, that document governs your engagement, including governing law and dispute resolution, and it controls wherever it differs from these terms.
Services
We provide consulting, AI agent setup and training, implementation, and custom software development. Every engagement is described in a signed agreement or statement of work that sets out its scope, fees and schedule. Ongoing work is usually provided on a monthly retainer. Larger builds with defined deliverables are quoted separately under a statement of work.
Fees, invoicing and payment
- Fees are set out in your agreement or statement of work and are charged in US dollars.
- We send invoices through Stripe, and you pay using the payment methods shown on the invoice.
- Monthly retainers are invoiced on or around the first business day of each month and are due within seven days of receipt, unless your agreement says otherwise. Project fees are invoiced on the schedule in the statement of work.
- You are responsible for third-party costs connected with the work, such as AI model, API and software subscriptions billed to your own accounts. Expenses we incur on your behalf with your prior approval are billed at cost.

Intellectual property
Ownership of work product is set by your agreement. Under our standard terms, you own the custom code, workflows, prompts and other deliverables we build specifically for you. We keep ownership of our pre-existing tools and templates, our general methods and know-how, and reusable components that do not contain your confidential information or business logic.

Confidentiality
Each party keeps the other's confidential information private, as described in the signed agreement. This includes business plans, customer data, internal workflows and technical systems.
No guarantee of results
We perform our services in a professional and workmanlike manner. Beyond that, services are provided as is. We do not guarantee specific business results, the availability of third-party services, or the accuracy of output produced by AI tools, which should be reviewed before it is relied on. The information on this website is general and is provided as is.
Limitation of liability
To the extent the law allows, our total liability arising from our services is limited to the fees you paid us in the three months before the claim, and neither party is liable for indirect, incidental or consequential damages. This limit does not apply to breaches of confidentiality, gross negligence or willful misconduct.
Changes to these terms
We may update these terms. The date at the top of this page shows the current version. An update does not change a signed agreement unless both parties agree to the change in writing.
